Write a contract for resellers to sell our cellphone protection plans

We are a startup cell phone protections service selling protection for mobile phones. We are expanding our service from selling direct to consumers to now allow resellers to sell our product. We need an agreement written between us and our resellers (cell phone stores). The agreement needs to protect us from fraudulent insurance purchases, payment collection, non payment collection practices and potential litigation. Because the reseller is collecting the payment up front from the customer, we will be doing a weekly ach payment to collect our receivables. The agreement must be binding and stand up to South Carolina law.
